These Terms of Service ("Terms") govern your use of the BranchOS platform and related services ("Service") provided by BranchOS ("we", "us", or "our"). Please read them carefully before using the Service. If you are accessing BranchOS on behalf of a business, you represent that you have the authority to bind that business to these Terms.

BranchOS is a cloud-based business management platform designed for dealer networks and multi-branch retail businesses. The Service includes:
We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with reasonable notice where practicable. Features described in marketing materials represent current or planned capabilities and are subject to change.
To access BranchOS, you must create an account. You agree to:
One account is required per business entity. You may invite multiple staff members under your account in accordance with your subscription plan. You must not create multiple accounts to circumvent plan limits.
You agree to use BranchOS only for lawful business purposes. You must not:
Violation of this section may result in immediate account suspension without refund.
BranchOS is offered on monthly subscription plans. Current pricing is displayed on our website at thebranchos.com/pricing. All prices are quoted in Nigerian Naira (₦) and are inclusive of applicable taxes unless otherwise stated.
New accounts receive a 14-day free trial with full access to the features of their selected plan. No credit card is required to start a trial. At the end of the trial period, you must provide payment details to continue using the Service.
Subscriptions are billed monthly in advance on the anniversary of your activation date. Failure to pay within 7 days of the due date will result in your account being suspended. Accounts suspended for non-payment retain their data for 30 days, after which the account is terminated and data deleted in accordance with our Privacy Policy.
We do not offer refunds for partially used billing periods. If you downgrade or cancel your subscription, your access continues until the end of the current billing cycle. We may issue discretionary refunds for billing errors or exceptional circumstances at our sole judgment.
We will provide at least 30 days' written notice before changing the price of your existing plan. Continued use of the Service after the effective date of a price change constitutes acceptance.
BranchOS, including its source code, algorithms, user interface, branding, documentation, and all related materials, are the exclusive intellectual property of BranchOS and its licensors. These Terms do not grant you any rights to our intellectual property beyond the limited, non-exclusive, non-transferable right to use the Service during your subscription period.
All business data you enter into BranchOS — including sales records, inventory data, staff information, and financial records — remains your property. You grant us a limited licence to store, process, and display this data solely to provide the Service to you. This licence ends when your account is terminated.
If you provide suggestions, feature requests, or other feedback about BranchOS, you grant us the right to use that feedback to improve the Service without any obligation to compensate you.
Each party agrees to treat as confidential any non-public information received from the other in connection with this agreement. We will not disclose your business data to any third party except:
You agree not to disclose any non-public information about BranchOS's technology, pricing structures, or product roadmap that you receive in the course of your relationship with us.
To the maximum extent permitted by Nigerian law:
Some jurisdictions do not allow the exclusion of certain warranties or limitations on liability, so the above limitations may not fully apply to you.
You may cancel your subscription at any time from within your account settings or by contacting us at hello@thebranchos.com. Cancellation takes effect at the end of the current billing cycle. No refund is issued for the remaining period.
We may suspend or terminate your account immediately, without notice, if:

On termination, your right to access the Service ceases immediately. Data export and deletion follows the timeline described in our Privacy Policy.
These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. You consent to the exclusive jurisdiction of the courts of Lagos State, Nigeria for the resolution of any dispute that is not resolved through mediation as described in Section 11.
We genuinely want to resolve disputes quickly and fairly. Before resorting to litigation, both parties agree to attempt resolution through the following process:
